1.3 Your agreement with MEDCOMPLI will also include the terms of any Legal Notices applicable to the Services, in addition to the Universal Terms. All of these are referred to below as the “Additional Terms”. Where Additional Terms apply to a Service, these will be accessible for You to read either within, or through Your use of, that Service.

7.2. Invoicing and Payment. You will provide MEDCOMPLI with valid and updated credit card information, or with a valid purchase order or alternative document reasonably acceptable to MEDCOMPLI. Such charges shall be made in advance, either annually or in accordance with any different billing frequency stated in the applicable Order Form. If the Order Form specifies that payment will be by a method other than a credit card, MEDCOMPLI will invoice You in advance and otherwise in accordance with the relevant Order Form. Unless otherwise stated in the Order Form, invoiced charges are due net 30 days from the invoice date. 7.4. Suspension of Service and Acceleration. If any amount owing by You under this or any other agreement for Our services is 30 or more days overdue (or 10 or more days overdue in the case of amounts You have authorized Us to charge to Your credit card), We may, without limiting Our other rights and remedies, accelerate Your unpaid fee obligations under such agreements so that all such obligations become immediately due and payable, and suspend Our services to You until such amounts are paid in full.

22.2 The Terms constitute the whole legal agreement between You and MEDCOMPLI and govern Your use of the Services (but excluding any services which MEDCOMPLI may provide to You under a separate written agreement), and completely replace any prior agreements between You and MEDCOMPLI in relation to the Services.
22.3 You agree that MEDCOMPLI may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services.
22.4 You agree that if MEDCOMPLI does not exercise or enforce any legal right or remedy which is contained in the Terms (or which MEDCOMPLI has the benefit of under any applicable law), this will not be taken to be a formal waiver of MEDCOMPLI’s rights and that those rights or remedies will still be available to MEDCOMPLI.
22.5 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
22.6 You acknowledge and agree that each member of the group of companies of which MEDCOMPLI is the parent shall be third party beneficiaries to the Terms and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms.
22.7 The Terms, and Your relationship with MEDCOMPLI under the Terms, shall be governed by the laws of the State of New Hampshire without regard to its conflict of laws provisions. You and MEDCOMPLI agree to submit to the exclusive jurisdiction of the courts located within the county of Rockingham, New Hampshire to resolve any legal matter arising from the Terms. Notwithstanding this, You agree that MEDCOMPLI shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
